Build-Operate-Transfer (BOT) Concessions Explained

In a Build-Operate-Transfer (BOT) concession, the contractor finances and builds a plant, operates it for an agreed term to recover investment, then transfers ownership to the client. The founding team behind Apex has executed a five-year, USD 6.5M BOT concession; Apex offers both EPC and BOT delivery models.

The three phases

  • Build — the concessionaire finances and constructs the asset
  • Operate — the concessionaire runs the plant for an agreed term (often 5–20 years), recovering investment from tariffs or availability payments
  • Transfer — ownership passes to the client, typically debt-free and in agreed technical condition

BOT vs EPC

EPC suits clients with capital available and a clear specification: pay for the build, own the asset from day one. BOT suits clients who want capacity without upfront capital: higher lifetime cost, but the concessionaire carries financing, performance and O&M risk through the operate phase.

What to check in a BOT bid

  • Tariff or payment mechanism and indexation
  • Effluent/ product-water guarantees and penalty regime
  • Minimum offtake or availability terms
  • End-of-term asset condition standards
  • Who carries demand risk

Track record

The founding team behind Apex has executed a five-year, USD 6.5M Build-Operate-Transfer concession in wastewater infrastructure — establishing sustained recurring revenue and lifecycle operations — and structured techno-commercial proposals for sovereign-scale bids. That record is delivered through Apex alongside full EPC capability.
